Terms of Use

1. Agreement to these terms

Welcome! This website and its member portal (the “Site”) are operated by Nashville Tech Builders (“we,” “us,” or “our”), a community organization on the lucoly network. The lucoly platform is a program of Nashville Tech Builders, a 501(c)(3) nonprofit organization. By visiting the Site, creating an account, joining as a member, registering for an event, or otherwise participating in our programs, you agree to these Terms of Use and to our Privacy Policy. If you do not agree, please do not use the Site.

2. Who we are

Nashville Tech Builders is a nonprofit community of developers, designers, and technologists. Our activities include meetups and other events, hackathons, mentorship programs, volunteer software projects for local nonprofits, newsletters, and an online member community. These Terms cover both your use of the Site and your participation in those community and nonprofit activities.

3. Eligibility

You must be at least 13 years old to create an account. If you are under 18, you may use the Site and attend our events only with the consent and supervision of a parent or legal guardian, and some programs or events may have their own age requirements.

4. Your account

You can create an account with an email address (verified by a one-time code) or through a third-party sign-in provider such as Google, GitHub, or LinkedIn. You agree to provide accurate information, to keep your email address current, and not to impersonate anyone else or create accounts for others without permission. You are responsible for activity that occurs under your account and for keeping access to your email and sign-in providers secure.

5. Community conduct

We exist to build a welcoming, collaborative community. When using the Site or participating in our events and programs, you agree not to:

• harass, threaten, demean, or discriminate against anyone, or post content that is hateful, obscene, or defamatory;
• post content that is unlawful, infringes someone else's rights, or that you do not have the right to share;
• spam, solicit, or advertise in ways unrelated to the community's purpose, or harvest other members' contact information;
• interfere with the Site's operation, probe or breach its security, scrape it at scale, or access it by automated means except through interfaces we provide;
• misuse event registration, ticketing, judging, badge, or form-submission features (for example, forging tickets or manipulating scores).

If a separate code of conduct is published for the community or for a specific event, it applies in addition to these Terms.

6. Content you post

You keep ownership of the content you post on the Site — profiles, posts, comments, project descriptions, form responses, images, and similar material (“Member Content”). You grant us a non-exclusive, royalty-free, worldwide license to host, display, reproduce, and distribute your Member Content as needed to operate and promote the Site and our programs. You are responsible for your Member Content, and we may remove content or restrict features that we reasonably believe violate these Terms.

7. Events, tickets, and refunds

We host free and paid events. When you register or purchase a ticket:

• paid tickets are processed by our payment provider, Stripe — we do not store your full card details;
• each ticket is issued to a named attendee and may be scanned for entry; tickets may not be resold for profit;
• refund and transfer rules are stated on the event page; unless stated otherwise, fees for paid events are refundable up to the event's published cutoff and donations are non-refundable;
• some events require you to accept a waiver or release at registration, which applies in addition to these Terms;
• events may change time, venue, or speakers, or be canceled; if we cancel a paid event we will refund the ticket price.

8. Photography and recording at events

Our events are frequently photographed and recorded to document and promote the community's nonprofit work. By attending, you consent to being photographed or recorded and grant us a royalty-free license to use those images and recordings in our communications, websites, and promotional materials. If you would prefer not to appear, tell the event organizers and we will make reasonable efforts to accommodate you.

9. Hackathons, projects, and volunteering

Hackathon and volunteer projects are collaborative. Unless a specific program states otherwise:

• you keep ownership of the intellectual property in your own contributions;
• by contributing to a volunteer project for us or for a nonprofit partner, you grant us and that partner a perpetual, irrevocable, worldwide, royalty-free license to use, host, reproduce, modify, build upon, and distribute your contributions, so the project can continue to operate and evolve after your involvement ends — this license cannot be withdrawn once your contribution is made;
• you represent that your contributions are your own work (or that you have the rights to contribute them, including any third-party or open-source components, consistent with their licenses) and are not subject to a conflicting obligation such as an employer's IP agreement;
• a specific program or partner agreement may instead require assignment of the work or an open-source license — if so, that will be stated when you join the project;
• hackathon projects belong to you and your teammates unless the hackathon's published rules say otherwise.

Judging decisions, awards, and badges are made at the organizers' reasonable discretion and are final. Volunteering through our programs does not create an employment, agency, or contractor relationship.

10. Donations and payments

Donations and payments made through the Site are processed by Stripe. Donations support our nonprofit mission and are used at our discretion for our charitable programs unless a campaign states otherwise. Consult your tax advisor about deductibility; where applicable we will provide acknowledgment letters for qualifying donations.

11. Newsletters and communications

With your consent, we send newsletters, event digests, and account notifications. You can adjust your preferences or unsubscribe at any time using the links in our emails. We may still send you transactional messages (such as sign-in codes, ticket receipts, or important account notices) while you have an account.

12. Badges and credentials

We may issue Open Badges or similar digital credentials to recognize participation and achievement. Credentials describe facts as of the issue date, may carry an expiration date, and may be revoked if issued in error or obtained through misconduct.

13. AI features and tools

The Site may offer AI-assisted features (such as chat assistants). AI output can be inaccurate — use your judgment and do not rely on it as professional advice. Content you submit to AI features may be processed by third-party model providers as described in our Privacy Policy.

14. Third-party services and links

The Site integrates with and links to third-party services (for example Stripe, Slack, Meetup, Eventbrite, and social sign-in providers). Those services have their own terms and privacy policies, and we are not responsible for them.

15. Our intellectual property

The Site, its software, design, logos, and content we create are owned by us or our licensors and are protected by law. Except for your own Member Content, you may not copy, modify, or distribute the Site or its content without our permission, beyond the normal use the Site is designed for.

16. Suspension and termination

You may stop using the Site or delete your account at any time. We may suspend or terminate accounts, memberships, or event access that violate these Terms, a code of conduct, or the law, or when we reasonably believe it is necessary to protect the community. Sections of these Terms that by their nature should survive (including content licenses, disclaimers, and limitations of liability) survive termination.

17. Disclaimers

The Site and our programs are provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We are a volunteer-driven nonprofit and do not promise the Site will be uninterrupted, error-free, or secure, or that content (including job postings and member posts) is accurate.

18. Limitation of liability

To the fullest extent permitted by law, we — including our directors, officers, volunteers, members, and the platform operator — will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising out of your use of the Site or participation in our programs. To the fullest extent permitted by law, our total liability for any claim will not exceed the greater of the amount you paid us in the twelve months before the claim or fifty dollars (US $50). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

19. Indemnification

You agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your Member Content, your violation of these Terms, or your violation of any law or third-party right.

20. Governing law

These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Davidson County, Tennessee, and you consent to their jurisdiction, except where the law of your place of residence requires otherwise.

21. Changes to these terms

We may update these Terms from time to time. When we make material changes we will update the effective date above and take reasonable steps to notify you, such as a notice on the Site or an email. Continuing to use the Site after changes take effect means you accept the updated Terms.
